  1. NEXUS

Each member contracts with Cellar Door Promotions Limited (“Cellar Door”).

Cellar Door reserves the right to charge members a membership fee and charges for any ancillary services used. The right to amend or waive any such fees or subscriptions from time to time shall be in Cellar Door’s sole discretion.

The availability and scope of the Services, as well as the availability and scope of benefits we offer in relation to Third Party Services, are subject to change from time to time in our sole discretion. Without limiting the generality of the foregoing, you acknowledge that our Premises, and the Services we may offer at any of our Premises, are also subject to change from time to time. From time to time, we may also make modifications, deletions or additions to these Terms and will provide you with notice of changes to these Terms or to Services that apply to you, by emailing the last email address provided by you in your profile or by posting a notice on the NEXUS Network. Most changes will be effective immediately upon notice, except that pricing and fee changes will be effective upon your next subscription period. If you don’t agree to the changes, you may cancel your Membership at any time.

  1. YOUR MEMBERSHIP APPLICATION

By completing and submitting your application for membership via our website, you agree to be bound by these terms and conditions.

You are free to withdraw your application at any time. Should you wish to do so, please contact our membership team at [email protected]

  1. PROPOSING NEW MEMBERS

Members are welcome to propose new applicants to join NEXUS.

  1. MEMBERSHIP DATABASE

It is important for us to have your current details in our membership database. By becoming a member of NEXUS, you agree that we can hold your personal details for us to use in connection with your membership. If your contact details change, please let us know by emailing [email protected]

  1. MEMBERSHIP PAYMENT

Upon approval or renewal of your membership, your membership fees become payable. Payment where applicable is to be made via direct bank transfer. Failure to pay the relevant membership fee within one week of the due date will result in the member not being admitted to NEXUS and the membership being terminated.

  1. THE NEXUS NETWORK

To use the Services, you’ll have access to use the NEXUS Network via the NEXUS app, whilst access into NEXUS itself is via the ‘KISI’ app. To use the NEXUS app you’ll have to agree to these Terms & Conditions as well as Privacy Policy and Wireless Network Policy found on our website.

  1. CONFERENCE ROOM

You may use credits (where available) for booking the conference (meeting) room or other Services (e.g. printing) whilst at NEXUS during such Regular Business Hours on such Regular Business Days, all subject to availability of such Services. Use of our Services in excess of any credits would be subject to the standard fees for such Services. Such Fees are subject to change from time to time.

  1. GUESTS

NEXUS is a member only space for creatives. We welcome you to bring in up to two guests for informal meetings, where they can stay with you for up to a maximum of 2 hours. If you need them to stay longer or if you require a meeting for more individuals, please do book the meeting room on site.

Please do respect NEXUS as being a space for members so it is not appropriate for you to invite friends / non-members in to work alongside you. Please be aware that during very busy times we may have to restrict member/guest access.

A member’s guest(s) may not enter NEXUS without that member being present. Members may not be separated from their guests within NEXUS or allow their guests to remain in NEXUS when they leave. Members are responsible for ensuring their guests follow all rules and policies and can face suspension or termination of their membership if their guests violate such rules or policies.

  1. CHILDREN

NEXUS is designed for adults.

  1. PRIVACY FOR MEMBERS/GUESTS

Members and their guests must not approach, disturb or solicit others at NEXUS with whom they are not personally acquainted. Doing so may lead to suspension or termination of membership.

  1. AUDIO/VIDEO SOUND

Movies, videos, songs, internet calls, presentations and all other audio must only be played through headphones and should not be audible to any other member or guest present. Internet calls must only take place in designated areas.

  1. CONFIDENTIALITY

Cellar Door management and all staff members are required to adhere to the strictest confidentiality standards and pledge to maintain all records and personal information concerning the members and their guests in the strictest confidence.

  1. ILLEGAL DRUGS/SUBSTANCES/ITEMS

No member or guest shall purchase, use, ingest, possess, sell or otherwise distribute illegal drugs or other substances or attempt to do any of the same from any member, guest or shall ask any Cellar Door staff for illegal drugs or other substances while on premises or in the immediate vicinity thereof. If any of the actions above prove true, the relevant member and/or guest will be removed from NEXUS and the membership in question will be terminated.

No member or guest shall purchase, sell, use or possess any object which is illegal or offensive while on premises or in the immediate vicinity thereof. If any such objects are found, the item will be confiscated, the relevant member and/or guest will be removed from NEXUS the membership in question will be terminated and depending on the circumstances we may have to call the police or relevant authorities.

  1. BILLS

All bills for Services will be charged in arrears on the ‘1st’ of the month. There are no credit facilities.

  1. BEVERAGES

Please refrain from bringing to NEXUS any outside beverages, unless medically necessary. NEXUS has an onsite coffee shop – Coffee Shotter, which is fully stocked and serves the best coffee on the high street.

  1. PRIVATE HIRE AND MAINTENANCE

We may at times close all or part of NEXUS to members and their guests for private events or for necessary maintenance, repair or redecoration work.

Where we close part of NEXUS for private events, please honour and respect the privacy of all private events occurring at NEXUS and refrain from communicating any information about the event to third parties in any medium.

Where all or part of NEXUS is closed for maintenance, repair or redecoration work, or where we need to withdraw facilities or services because we consider that they may pose a risk to the health or safety of our members, guests or staff, or that they are detrimental to the business, we will seek to ensure that any such area, facility or service is reinstated as soon as practicable.

  1. EVENTS

We love to hear what our members and guests get up to at NEXUS. Whilst you are a member or a guest at NEXUS, we may ask you to give your views of, and experiences at, NEXUS and we may also film, video or photograph our member events and activities at NEXUS for use in our membership programmes advertising, promotions, public relations, and other commercial/business purposes. If you take part in these interviews or events, you agree that we may use your name, image and limited other information and consent to us publishing any materials produced by, or for us, for any purpose without your further consent and you waive your right to receive any payment from us in connection with such publication.

  1. ACCIDENTS AND INJURIES

We want all our members and guests to relax and enjoy the activities and facilities available at NEXUS in safety. Members and their guests agree to observe the terms & conditions and any signs published or displayed at NEXUS at any time.

If a member or guest has an accident or suffers any injury at, or in the vicinity of, NEXUS, please report this as soon as possible to a member of staff and in any event within 24 hours of the incident. As well as wanting to check on a member or guest’s well-being, this information is needed in order to help us comply with our health and safety obligations and for insurance purposes.

  1. ENTERING/LEAVING NEXUS

All members and their guests are asked to respect our nearby residents by being quiet when entering or leaving NEXUS.

  1. ANIMALS

No animals will be allowed in to NEXUS except for legally recognised and certified assistance dogs.

  1. CCTV

Members and their guests be aware that for safety reasons, we use CCTV at NEXUS.

  1. SMOKING POLICY

All members and their guests are obligated to abide by NEXUS’s smoking policy then in effect and to all applicable no-smoking governmental laws, rules and regulations. No smoking (including e-cigarettes and vapes) is allowed inside NEXUS at any time. Cellar Door reserves the right to prohibit or limit smoking in any area of NEXUS at any time at its sole and absolute discretion.

Cellar Door reserves the right to designate certain outside areas of NEXUS premises as smoking areas and to change the location of such areas at any time however, all members and their guests are requested to respect the wishes of other members and their guests with respect to smoking and to refrain from smoking when requested to do so.

  1. DISCIPLINARY PROCEDURE

Conduct by a member or guest that is prejudicial to the reputation and character of Cellar Door may result in suspension or expulsion of such member or guest. Such conduct may include inappropriate, violent or abusive behaviour or the communication of information concerning company affairs, members or their guests at NEXUS to the media. An expelled member may not return to NEXUS as a guest. A refund of the expelled member’s subscription will be at the discretion of Cellar Door. Any member or members who wilfully remove, damage or destroy any property belonging to NEXUS or to members or guests on the premises of NEXUS will be liable to expulsion and/or suspension or termination of their membership.

Every member binds him/herself to abide by the rules, bylaws and regulations of Cellar Door at all times upon acceptance as a member. If Cellar Door considers that any member’s (or his or her guests) conduct either inside or outside of NEXUS premises is, at its absolute discretion, contrary to the interests of Cellar Door, Cellar Door may with immediate effect expel the member or guest from NEXUS and/or suspend or terminate that member’s membership without having to give any reason to such member or guest.

  1. CONSTITUTION

NEXUS is constituted to encourage non-political, social and recreational activities.

  1. RIGHTS AND PRIVILEGES OF MEMBERSHIP

A member shall be entitled to all the rights and privileges of NEXUS granted to a person in his or her capacity as a member and shall be bound by these rules.

  1. CELLAR DOOR TRADEMARK RIGHTS

Members and their guests shall not use the names, logos, colours, trademarks, service marks, photographs, trade dress, or other identifying features of Cellar Door and its affiliates (the “Cellar Door Marks”) without obtaining the specific prior written approval of Cellar Door as to the specific use.

You hereby expressly recognise that the Cellar Door Marks are the valid, unique and exclusive property of Cellar Door, its parent, affiliates and/or subsidiaries. Members and their guests may not produce, use or create, or authorise others to produce, use or create, the Cellar Door Marks for any purpose whatsoever, including, but not limited to, in any communications, marketing, advertising or other promotional materials (including, but not limited to, brochures, flyers, invitations, e-mail messages, etc.) that utilise the Cellar Door Marks without Cellar Door’s prior written consent.

  1. USE OF EQUIPMENT AND FACILITIES

Use of any of the facilities available at NEXUS is entirely at the risk of a member or his or her guests. When using any equipment and facilities available at NEXUS, you must take care to safeguard your own health and safety and that of other people, and you will be solely responsible for any loss or injury that you cause to yourself, other persons or to the equipment or facilities to the extent that it is caused through your unsafe or improper use of the equipment or facilities (including your use of them whilst under the influence of alcohol or medication) or your failure to advise staff of a medical condition relevant to your use of the equipment or facilities.

  1. POST

Qualifying members may send business post and packages to NEXUS. This facility is only available to members who have the ‘Registered Office’ option within his or her membership. All post sent to NEXUS is sent entirely at the member’s risk and Cellar Door shall not be liable for any loss, damage or destruction to any post or package. If post is not collected within a reasonable amount of time Cellar Door may dispose of it or return it to sender as it sees fit. If any customs, duties or handling charges are due, the member agrees all such costs will be borne by them.

  1. LIABILITY OF CELLAR DOOR

We are not liable for actions of other individuals. We do not control and are not responsible for the actions of other individuals or pets using the Services or at our Premises. You should be aware that other users or members may not be who they claim to be. We do not perform background checks on our users or members nor do we guarantee that our users’ or members’ profiles are accurate. We do not endorse, support or verify the facts, opinions or recommendations of our users or members.

We do not have liability for third party products or services. The Services may provide you with access to third party products or services. The Services may also provide you with access to advertisements from our other third party business partners. We are not responsible for the content of these advertisements or any links, products, services or other materials relating to any third party products, services, advertisements or other materials. In no event will we be liable, directly or indirectly, to anyone for any damage or loss relating to any use of or reliance on any advertisement on the Services or any products, services or other materials relating to any advertisement. You agree that our making available access to or discounts for these third party services does not constitute provision of such third party services by us, and you will look solely to the applicable third party for provision of the applicable third party services and for compensation for any claims, damages, liabilities or losses you may incur in connection with such third party services.

  1. LIABILITY

To the extent permitted by law, the aggregate monetary liability of any of the NEXUS Parties to you or your employees, agents, guests or invitees for any reason and for all causes of action, whether in contract, tort, breach of statutory duty, or other legal or equitable theory will not exceed the total amounts paid by you to us under these Terms for the product or service from which the claim arose in the twelve (12) months prior to the claim arising. NEXUS will not be liable under any cause of action, for any indirect, special, incidental, consequential, reliance or punitive damages, including loss of profits or business interruption, or for the cost of any substitute goods, services or technology. You acknowledge and agree that you may not commence any action or proceeding against NEXUS, whether in contract, tort, breach of statutory duty, or other legal or equitable theory, unless the action, suit, or proceeding is commenced within one (1) year of the cause of action’s accrual.

All items brought into NEXUS are brought and left entirely at the risk of a member or his or her guests. Cellar Door, its servants and/or agents shall not be liable to any member or guest for any loss, damage or injury suffered by them or their property howsoever caused, save in respect of death or personal injury to a member or guest to the extent caused by the negligence of Cellar Door, its servants and/or agents. This is not intended to affect any mandatory rights a member or guest may have under local law that we cannot legally restrict or exclude.

  1. INDEMNIFICATION

You agree to hold us harmless. You will indemnify and hold harmless Cellar Door from and against any and all claims, liabilities, damages and expenses (“Claims”) including reasonable attorneys’ fees, resulting from any breach of these Terms by you or your employees or guests, or your or their invitees or pets or any of your or their actions or omissions, and Cellar Door will have sole control over the defence of any such Claims. You are responsible for the actions of and all damages caused by all persons that you or your guests invite to enter any of the Premises. You shall not make any settlement that requires a material act or admission by Cellar Door, imposes any obligation upon Cellar Door or does not contain a full and unconditional release of Cellar Door, without our written consent. Cellar Door shall not be liable for any settlement made without its prior written consent. You agree to cooperate with us. From time to time, we may investigate any actual, alleged or potential violations of these Terms. You agree to cooperate fully in any of these inquiries. You waive any and all rights against Cellar Door, and agree to hold them harmless in connection with any claims relating to any action taken by us as part of our investigation.

  1. INTERPRETATION OF THE RULES

In the event of any dispute arising as to the meaning or interpretation of these rules, the matter shall be referred to the Membership Committee, whose decision with respect to your membership shall be final and without appeal.

These rules shall be governed and construed in accordance with English law and each member agrees to submit to the exclusive jurisdiction of the courts of England.

  1. AMENDMENTS TO THE TERMS & CONDITIONS

Cellar Door may change the Terms & Conditions from time to time, by displaying notification of the change on www.cellardoornexus.co.uk Please be aware that the Terms & Conditions latest version will always be displayed on the above website.
